Terms and Conditions

Last updated: October 21, 2026

1. Acceptance of Terms

EmpatiQ (empatiqapp.com, "the Service") is operated by S3P Solutions Inc., a Delaware corporation ("S3P Solutions", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you accept these Terms on behalf of an agency, university, or company, you confirm that you are authorized to bind it, and "you" includes that organization. If your organization has a signed agreement or order form with us, that agreement prevails where it conflicts with these Terms.

2. The Service

EmpatiQ is an AI simulation platform for training negotiation, crisis communication, and other high-stakes conversations. You can rehearse with AI counterparts by text or voice, receive debriefs, review transcripts with instructors, build scenarios and courses from your own materials, and review recordings of real conversations.

EmpatiQ is a training tool. It is not a decision-support system for live incidents and does not give tactical, legal, clinical, or ransom-payment advice. It does not replace qualified instructors, your organization's policies, or professional judgment.

3. Eligibility

You must be at least 18 years old and able to enter into a binding contract. If you use the Service through an organization, you must be authorized by that organization. You may not use the Service if you are barred from doing so under US sanctions or export laws.

4. Accounts

Keep your login credentials confidential. You are responsible for all activity under your account. Give accurate information and keep it up to date. If your account belongs to an organization workspace, its administrators and instructors can view your sessions, transcripts, scores, and submissions, and can manage or remove your access.

5. Your Content

"Your Content" means what you put into the Service: messages, voice, uploaded documents, recordings, scenarios, and courses. You keep ownership of Your Content. You give us a limited license to host, copy, process, and transmit it (including through the sub-processors listed in our Privacy Policy) only as needed to provide and secure the Service for you.

We do not use Your Content to train AI models.

You are responsible for Your Content. You confirm that:

  • you have the rights and permissions needed to upload it, including any consent that recording laws require for real conversations;
  • uploading it does not breach your agency's or employer's policies, a confidentiality obligation, or anyone's privacy rights;
  • it does not contain classified information, Criminal Justice Information (CJI), protected health information, or payment card data.

6. Subscriptions and Payment

Individual plans require a paid subscription after any free trial. Subscriptions renew automatically until cancelled. You can cancel at any time, and access continues until the end of the current billing period. New web subscriptions are billed through Stripe. Some earlier subscriptions are billed through Paddle, which acts as the merchant of record for them. Organization plans are billed as set out in the order form or invoice. Prices exclude taxes unless stated. Refunds are governed by our Refund Policy. We do not store your payment card details.

7. Acceptable Use

You agree not to:

  • rely on the Service, or present its output, as guidance during a real, live incident;
  • use the Service to plan, carry out, or assist extortion, fraud, harassment, or any other unlawful activity;
  • upload content you have no right to share, or content prohibited by Section 5;
  • share your account or let others use your seat;
  • scrape, copy, or resell the Service, its scenarios, or its courses;
  • attempt to extract, reverse-engineer, or reproduce the underlying models or prompts;
  • bypass access controls, rate limits, or security measures.

8. AI-Generated Content

AI counterparts, their backstories, and their responses are simulations. They do not represent real people, and any resemblance to real people or events is coincidental. AI output, including debriefs and scores, can be inaccurate or incomplete. It is feedback for practice, not an assessment of competence or a certification, unless your instructor or organization issues one separately.

9. Intellectual Property

The Service, including its software, design, scenarios, and courses we provide, belongs to S3P Solutions Inc. or its licensors. Content from instructors or organizations belongs to them. Apart from Your Content, you may not reproduce, distribute, or create derivative works from the Service without our written consent. If you send us feedback, we may use it without any obligation to you.

10. Third-Party Services

The Service relies on third-party providers for hosting, AI, voice, payments, and email. We are not responsible for outages or changes in third-party services beyond our reasonable control.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI output will be accurate.

12. Limitation of Liability

To the fullest extent permitted by law, S3P Solutions Inc. is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Service. Our total liability for any claim is limited to the greater of the amount you paid us in the twelve months before the claim or US $100.

13. Indemnity

You will defend and indemnify S3P Solutions Inc. against third-party claims arising from Your Content or your breach of these Terms, including claims that you uploaded a recording or document without the required rights or consent.

14. Termination

You may close your account at any time by contacting us. We may suspend or terminate access if you breach these Terms or if required by law. After termination, we delete Your Content as described in our Privacy Policy. Sections 5 and 9 to 16 survive termination.

15. Changes to These Terms

We may update these Terms. We will notify you of material changes by email or in-app notice before they take effect. If you keep using the Service after that date, you accept the revised Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction. If you are a consumer, nothing in these Terms takes away the mandatory protections of the law of the country where you live.

17. General

These Terms, our Privacy Policy, our Refund Policy, and any order form are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition, or sale of assets.
